These terms govern the use of this website and the gateway outpost services provided by KOSAL NOVIREN INC.
Last updated 27 October 2026
These Terms of Service form a binding agreement between the person or organisation accessing this website or engaging the gateway outpost and KOSAL NOVIREN INC. By using the website, sending an enquiry, or placing a service order, the party concerned agrees to be bound by these terms.
If a person is using the website or the services on behalf of an organisation, that person confirms that they have authority to bind the organisation. If they do not have that authority, they must not proceed and should pass these terms to someone who does.
If a reader does not agree with these terms, they should not use the website and should not place a service order. Questions about the terms may be sent to gateway@kosalnoviren.mom before any commitment is made.
KOSAL NOVIREN INC operates a staffed gateway outpost in the field of computer systems design and related professional, scientific, and technical services. The company address is KOSAL NOVIREN INC, 6750 W Parkway Blvd, West Valley City - 84128-1159, United States (US). The outpost may be reached by email at gateway@kosalnoviren.mom or by telephone on +13096172815.
References in these terms to we, us, our, and the outpost mean KOSAL NOVIREN INC. References to you and your mean the person or organisation using the website or the services.
The outpost provides engineering services relating to gateway operation. It does not sell hardware, does not act as a reseller of network access, and does not hold itself out as a provider of any regulated financial, legal, or medical service.
The following definitions apply throughout these terms.
Other capitalised terms are defined where they first appear in these terms or in a service order.
The website and the services are intended for professional use by organisations and by individuals acting in a professional capacity. They are not intended for use by consumers acting for personal, family, or household purposes, and they are not intended for anyone under the age of majority in their jurisdiction.
A person who engages the outpost confirms that they are legally able to enter into a contract, that the information they provide about themselves and their organisation is accurate, and that they will keep it up to date.
Where a person engages the outpost on behalf of a client environment that they do not own, they confirm that they have obtained the permission of the owner to do so and that the owner understands the nature of the work.
We grant a limited, revocable, non exclusive licence to access and read this website for lawful purposes connected with evaluating or using the services. This licence does not include any right to reproduce, redistribute, or create derivative works from the content, except as permitted by applicable law or by our written permission.
A visitor may print or save individual pages for their own reference, and may share links to the pages through ordinary means. A visitor may not present the content in a way that suggests an endorsement or partnership that does not exist.
We may change, suspend, or remove any part of the website at any time. Some features depend on external services such as email and web hosting, and we do not guarantee that those features will always be available.
The following conduct is not permitted when using the website or the services.
A breach of this section may lead to immediate suspension of access, termination of the service order, and, where appropriate, notification of the relevant authorities.
The services consist of six standing desks described on the services page: the VPN Termination Desk, Bridge Config Nights, Uptime Watch Rounds, Certificate Rotation Days, Failover Drill Weeks, and Log Triage Sessions. Each desk has a written procedure and a place within the watch ledger.
Services are performed by duty engineers acting under the supervision of the outpost. Remote delivery is normal. Where a physical presence is required, the location, the access arrangements, and the access times will be set out in the service order.
The outpost does not guarantee a particular outcome from a configuration change, a drill, or a triage session, because the result depends on the state of the client environment and on factors outside our control. We do commit to following the written procedure, recording the work, and informing you promptly of any material finding.
Where a task falls outside the scope of a desk as described on the services page, we will say so before performing it and will agree a separate scope with you in writing.
A service order describes the scope of work, the deliverables, the scheduling expectations, the fees, the acceptance criteria where relevant, and the responsibilities of each party. When a service order is accepted in writing, it becomes part of the binding agreement between you and KOSAL NOVIREN INC together with these terms.
Where these terms conflict with a service order, the service order governs the part of the relationship that it addresses, and these terms govern everything else.
Changes to scope must be agreed in writing before the additional work begins. A change may affect the fees, the schedule, or both. We will not invoice for work that has not been agreed, and you are not obliged to accept a proposed change.
Estimates of effort are provided in good faith. They are not fixed prices unless the service order states that they are.
You agree to provide accurate information about the client environment, to grant the access needed to perform the services, and to ensure that any person who provides information on your behalf is authorised to do so.
You agree to keep a current inventory of the gateways under management, to inform us promptly of changes that affect a gateway, and to nominate at least one contact who can approve a change window.
You agree to maintain the parts of the client environment that remain under your control, including any system that the outpost does not manage. A gateway that depends on an unmanaged component is only as stable as that component, and we cannot accept responsibility for a failure that originates outside the scope of the service order.
You agree to use the services lawfully and to ensure that traffic crossing a managed gateway complies with the law that applies to you.
Bridge configuration changes are performed during booked change windows, normally at night, so that the drawbridge schedule is respected. A change window has a start time, an expected end time, a verification step, and a rollback line that is written before the change begins.
If verification does not pass, the rollback line is executed and the night is recorded as an attempt rather than a completed change. We will inform you of the outcome and propose a revised window where appropriate.
Uptime watch rounds follow a route agreed with you and are reviewed every season. Certificate rotations follow a published calendar and are rehearsed on a staging gateway where one is available. Failover drills are scheduled in quiet windows and are treated as real incidents for the duration so that the timing data is meaningful.
A change window may be cancelled or moved by agreement. A change window cancelled by you within the notice period stated in the service order may attract a fee for reserved engineering time.
Fees are stated in the service order. Unless the service order says otherwise, invoices are issued monthly in arrears and are payable within thirty days of the invoice date.
Fees are exclusive of taxes unless the service order states otherwise. You are responsible for any sales, use, value added, or similar tax that applies to the services, other than tax on our income.
Where payment is overdue, we may suspend non urgent work after giving written notice. We will not suspend work that is required to prevent an immediate risk to a live gateway without first informing your nominated contact.
Amounts already invoiced for work performed are not refundable except where the service was not delivered in accordance with the service order or where the law requires a refund.
Travel and third party costs are charged at cost with your prior agreement and are itemised on the invoice.
The website, the written procedures of the outpost, the watch ledger format, and the design of the services are owned by KOSAL NOVIREN INC and are protected by copyright and other intellectual property laws. Nothing in these terms transfers ownership of that material to you.
Deliverables prepared specifically for you under a service order, such as a drill report or a certificate inventory, are licensed to you for your internal use. The underlying methods, templates, and tooling used to prepare those deliverables remain the property of KOSAL NOVIREN INC.
You retain ownership of the client environment and of the data within it. You grant us a limited licence to access and process that data only as necessary to perform the services and only for the duration of the engagement.
Neither party may use the name or marks of the other in a public statement without written permission, except that we may list your organisation as a client in a confidential reference list shared only with prospective clients on request.
Each party agrees to keep confidential the information of the other party that is marked confidential or that would reasonably be understood to be confidential from its nature. This includes gateway configurations, peer lists, certificate inventories, security findings, and commercial terms.
Confidential information may be disclosed to the employees and contractors of a party who need it for the performance of the services, provided they are bound by confidentiality obligations at least as protective as those in this section.
Confidential information may also be disclosed where required by law, a court order, or a regulator, provided the party making the disclosure gives prompt notice to the other party where it is lawful to do so and limits the disclosure to what is required.
These obligations continue for three years after the end of the engagement. Information that constitutes a trade secret remains protected for as long as it qualifies as a trade secret under applicable law.
The services may involve software, hardware, or network services supplied by third parties. Examples include operating systems, certificate authorities, and upstream carriers. Those components are governed by the terms of their suppliers, and we do not control them.
We will make reasonable efforts to identify third party components that materially affect the services and to keep you informed of changes that could affect a gateway. We are not responsible for a defect, an outage, or a licensing restriction that arises from a third party component outside our control.
Where a third party component requires a licence that you must hold, you are responsible for obtaining and maintaining that licence.
We warrant that the services will be performed with reasonable care and skill by personnel with appropriate experience, and that the work will follow the written procedures described on the services page.
Apart from that warranty, the services and the website are provided as available, and we disclaim all other warranties to the fullest extent permitted by law, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non infringement.
We do not warrant that the website will be uninterrupted or error free, that a gateway will be free of every defect, or that a drill or a triage session will discover every issue. A review is not a guarantee of security, and no engineering practice can promise absolute protection.
Nothing in these terms excludes a warranty that cannot lawfully be excluded.
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if the party was advised of the possibility of such loss.
Subject to the paragraph below, the total liability of KOSAL NOVIREN INC under or in connection with a service order is limited to the fees paid by you for the services under that service order in the twelve months preceding the event giving rise to the claim.
Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.
Each party must take reasonable steps to mitigate a loss for which it seeks to recover from the other party.
You agree to indemnify KOSAL NOVIREN INC against claims, losses, and reasonable costs arising from your unlawful use of the services, from a breach of these terms by you, from infringement of a third party right by material that you supply, or from a claim that traffic crossing a managed gateway is unlawful in the jurisdiction where it originates or is received.
We agree to indemnify you against claims and reasonable costs arising from a finding that our written procedures infringe the intellectual property of a third party, provided you inform us promptly of the claim and allow us to control the defence.
A party seeking indemnity must not admit liability or settle a claim without the consent of the indemnifying party, which must not be unreasonably withheld.
Either party may terminate a service order for convenience by giving the notice stated in the service order, or thirty days written notice where no period is stated.
Either party may terminate immediately by written notice if the other party commits a material breach and does not remedy it within fifteen days of being asked to do so, or if the other party becomes insolvent or ceases to trade.
We may suspend access to the website or the services without notice where necessary to protect the outpost, a client environment, or a third party from harm, or to comply with a legal requirement. We will restore access as soon as the reason for suspension has been resolved.
On termination, you must pay for services performed up to the effective date of termination. We will return or delete client data in accordance with the service order and the privacy policy, and we will provide a final record of the watch ledger where the service order requires it.
The outpost keeps a watch ledger and a certificate inventory as part of its ordinary practice. These records are kept confidential for each client and are used for continuity, audit, and service improvement.
Where personal information is processed as part of the services, the privacy policy published on this website describes how that information is handled, how long it is retained, and how a person may exercise their rights. The privacy policy is incorporated into these terms by reference.
You are responsible for keeping backups of the client environment in accordance with your own policies. The outpost does not provide a backup service unless a service order states that it does.
Records required for tax, accounting, or legal purposes are retained for the periods required by applicable law, even after a service order has ended.
Neither party is liable for a failure or delay in performance that is caused by an event outside its reasonable control. Such events include natural disasters, widespread network outages, failures of public infrastructure, government action, civil unrest, and epidemics.
The affected party must notify the other party promptly, describe the event, and take reasonable steps to reduce its effect. If the event continues for more than sixty days, either party may terminate the affected service order by written notice without penalty.
This section does not relieve a party of an obligation to pay amounts already due.
These terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Utah for the resolution of a dispute that cannot be resolved by discussion.
Before starting a formal proceeding, the parties agree to attempt to resolve the dispute in good faith through a written exchange of positions followed, where appropriate, by a meeting between senior representatives of each party.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.
Nothing in this section prevents either party from seeking urgent relief from a court to protect a legal right or to prevent harm.
These terms, together with any service order and the privacy policy, form the entire agreement between the parties on the subjects they cover and replace any earlier understanding on those subjects.
If a provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision is replaced by a valid provision that reflects the original intention as closely as possible.
A failure or delay in exercising a right is not a waiver of that right. A waiver is effective only when it is given in writing.
Neither party may assign a service order without the written consent of the other party, except to a successor in connection with a merger or a sale of substantially all assets.
Notices under these terms must be sent by email to the address provided by each party, with a copy by post where the service order requires it. A notice is treated as received on the next business day after it is sent.
These terms may be updated from time to time. The current version is published on this website with the date of the most recent update. A material change applies to a service order only after we have notified your nominated contact.
